Default What should I pay for '10 Touring/Nav/Sport/6MT?

I am toying with the idea of buying a 370Z. There is one at a dealer near me that is silver with black interior, sport package, 6-speed manual, navigation - exactly what I would want. It also have splash guards and floor mats which I don't care about, but it is.

Invoice on a 2011 with those options is $39,001 (including destination). They have it listed for $37,200. MSRP is $42,001 (for a 2011 model, don't know much less it was in 2010).

Are the 2010 and 2011 models pretty much the same?

Even if so, there will be a much bigger gap in resale in the future, let's say in 5 years if I go to sell it, a 2011 will be worth an easy $2k over a 2010 (I'd guess). So what would a good price be?

Also, according to Edmunds.com, there is a $2,000 manufacturer-to-dealer rebate on the 2010 370Z. If so, then with 2% holdback ($848 on a $42,440 MSRP car), they would be making $2848 on a sale even at invoice.

How low can they go? I haven't seen any discussion of the $2000 manufacturer-to-dealer rebate on here... but it seems a 2010 should be able to be had for $2k less than a 2011, yeah?
